Terms of Purchase

These Terms and Conditions for the Online Sale and Purchase of Goods at the online store www.PandaCoat.lt (hereinafter referred to as the "Terms"), along with the documents referenced herein, govern the conditions under which the Buyer may purchase Goods from the Seller via the online store. An integral part of these Terms is the Privacy Policy, which outlines the conditions for processing personal data. Any person must provide personal data to the Seller only if they fully understand and accept all provisions of the Privacy Policy.

General Provisions and Definitions

The following definitions are used in these Terms:

  • Online Store – the website www.pandacoat.lt where the purchase of Goods is carried out by selecting and ordering them.

  • Terms – these rules for purchasing Goods online via the Online Store at www.pandacoat.lt.

  • Seller – UAB “Sanleda,” legal entity code: 303204751, correspondence address: Ąžuolyno g. 7, Vilnius, VAT code: LT100008236010. Seller's data is stored in the Register of Legal Entities, administered by the State Enterprise Centre of Registers. Seller’s contact details are provided in the “Contact” section.

  • Buyer – a person who may be: 1) a legally capable natural person; 2) a minor between 14 and 18 years of age with parental or guardian consent, unless emancipated; 3) a legal entity; 4) a duly authorized representative of any of the above.

  • Buyer / Consumer – a natural person who, for purposes not related to their business, trade, craft, or profession (i.e., for consumption), intends to or enters into a contract. If the Terms refer to Buyer/Consumer specifically, that provision applies only to the Buyer acting as a consumer and not to a business buyer.

  • Buyer / Business Buyer – a natural or legal person (or organizational unit) who, for business, trade, craft, or professional purposes, intends to or enters into a contract, including those acting on behalf of or for the benefit of a business. A legal entity is always considered a business buyer. A private individual claiming VAT on purchases is also considered a business buyer.

  • Agreement – a contract for the purchase and sale of Goods ordered by the Buyer via the Online Store, entered into based on these Terms.

  • Order – the expression of the Buyer’s intent, in accordance with these Terms, to purchase selected Goods and pay the price indicated in the order.

  • Shipment – the Goods delivered to the address provided by the Buyer.

  • Personal Data – any information relating to an identified or identifiable natural person (data subject), such as identification number or one or more factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of that person.

  • Account – a secure area created after the Buyer registers in the Online Store, storing their data (including Personal Data) and order history.

  • Privacy Policy – a document approved by the Seller setting out the main principles for the collection, processing, and storage of Personal Data.

These Terms apply to all agreements concluded between the Seller and the Buyer for the sale of Goods through the Online Store.

Before placing an Order in the Online Store, please read these Terms carefully and make sure you understand them. The Buyer must agree to these Terms and the Privacy Policy before finalizing the Order. If the Buyer refuses, the Order cannot be completed. By confirming that the Terms are understood and accepted, the Buyer also confirms they have legal capacity and the right to register and purchase Goods online.

We recommend that Buyers save these Terms for future reference.

Please note that these Terms may be amended in accordance with the procedures provided herein. Each time you place an Order, we recommend reviewing the Terms again to ensure you are familiar with and understand the conditions under which the specific Order is being placed.

We encourage Buyers to contact the Seller using the contact details provided for any questions.

Conclusion of the Sale and Purchase Agreement

The Sale and Purchase Agreement between the Buyer and the Seller is considered concluded when the Buyer selects the Goods in the Online Store, enters all required information, chooses the delivery method, confirms that they understand and accept the Terms and Privacy Policy, and clicks the “Confirm Order” button.

Clicking the “Confirm Order” button also constitutes a binding obligation to pay for the ordered Goods.

The total value of one Order in the Online Store cannot be less than EUR 19.99, excluding delivery costs.

Upon receiving the Order, the Seller sends a confirmation email to the Buyer’s provided email address.

If any ambiguity arises regarding the information provided in the Order, the Seller has the right to contact the Buyer using the details provided. In such a case, the delivery period starts from the date the Seller contacts the Buyer. The Seller may cancel the Order if:
a) the Seller is unable to contact the Buyer within 2 (two) working days;
b) the Buyer does not provide requested additional information; or
c) the Buyer does not consent to personal data verification.

If, due to a technical error, stock unavailability, or discontinued items, the Seller cannot fulfill the Order, they will notify the Buyer within 2 (two) working days by email that the Order has been canceled. The Seller may suggest alternative solutions (e.g., a refund, an extended delivery time, or a similar item). If the Buyer does not accept any alternative, or if no alternative can be offered, the Order is canceled, and the Seller will refund the Buyer no later than 14 (fourteen) calendar days from the notice. The refund is made using the same payment method used by the Buyer unless the Buyer explicitly agrees otherwise.

Payment Terms and Conditions

The Buyer can pay for the Order via the following methods available in the Online Store:

  • E-banking (Paysera);

  • Bank transfer using the Seller's bank details;

  • Cash or card to the courier upon delivery.

By concluding the Agreement, the Buyer agrees to receive an electronic VAT invoice with purchase details via email. The invoice is sent no later than 5–10 working days after the Goods are collected.

Prices shown in the Online Store are valid only for purchases made through the Online Store. All prices include VAT (if applicable at the time in Lithuania).

Prices and delivery charges may change, but such changes will not affect existing Agreements.

Product prices do not include delivery costs. Delivery charges are shown before confirming the Order and depend on the selected delivery method.

If paying via e-banking or bank transfer, the Buyer must complete the payment within 24 hours after clicking “Order.” If the payment is not confirmed within this period, the Seller may treat the Order as canceled.

Delivery of Goods

When placing an Order, the Buyer must choose one of the delivery methods offered by the Seller. Goods are generally delivered within 1–2 working days starting from the next working day after Order confirmation. Orders placed before 2:00 PM are usually shipped the same working day or the next working day if placed on weekends or holidays.

Delivery times shown in product descriptions or the cart are approximate.

The Buyer must indicate the exact delivery address. The delivery cost depends on the weight and price of the ordered Goods.

Delivery to the address includes only the delivery of Goods. The Buyer must ensure a safe location for delivery (for the courier, Buyer, shipment, and vehicle).

If the shipment exceeds the maximum weight or size allowed by delivery providers, the delivery method, cost, and time are arranged individually with the Buyer. Additional services such as unloading or carrying items inside must be ordered separately before paying for the Goods and are at the Buyer’s expense.

Any individually agreed delivery conditions are stated in the Order confirmation.

Product Quality and Warranty

The product packaging may differ from the packaging shown in the images in the online store. However, a change in packaging does not affect the product and/or its characteristics and/or functionality as specified in the online store.

The Seller ensures the quality of the goods (statutory warranty). For different types of goods, the Seller may provide a specific quality guarantee, the exact duration and other conditions of which are specified in the descriptions of such goods or documents provided together with the goods.

If the purchased goods do not meet quality requirements, the Buyer has the right to demand, at their choice:

  • replacement of the defective goods with goods of suitable quality;

  • a corresponding reduction in the purchase price;

  • the elimination of product defects;

  • a refund of the paid amount.

The goods are deemed to be of suitable quality if:

  • they correspond to the description provided by the Seller;

  • they are suitable for the purpose for which goods of the same type are normally used;

  • they meet the quality characteristics that are customary for the same type of goods and which the Buyer can reasonably expect, given the nature of the goods and the statements made in the online store.

Rights and Obligations of the Buyer

The Buyer must pay for the goods and accept them in accordance with these Terms.

The Buyer must not use the goods for unlawful purposes.

The Buyer undertakes to keep their login data secure and not to disclose it to third parties.

Rights and Obligations of the Seller

The Seller undertakes to deliver the ordered goods and accept returns in accordance with these Terms.

The Seller reserves the right to suspend or terminate the operation of the online store temporarily or permanently without prior notice.

The Seller has the right to cancel the order without prior notice to the Buyer, if the Buyer fails to pay for the goods within the specified time frame.

Liability

The Buyer is responsible for the accuracy of the data provided during registration or purchase.

The Seller is not responsible for damages resulting from the Buyer's failure to familiarize themselves with these Terms, even though the Buyer was given the opportunity to do so.

The Seller is not responsible for the malfunction of the online store and/or failure to complete a transaction due to technical issues or force majeure events.

Force Majeure

The Seller is not liable for the failure to fulfill obligations if this was caused by circumstances beyond their control, including but not limited to: natural disasters, acts of war, terrorism, pandemics, government restrictions, or other events that prevent the execution of obligations.
